The First
Chapter Summary
1. Association
name is Guangdong Outdoor Furniture Associations (hereinafter GDOFA).
2. GDOFA
is aims at the promotion and popularization of the knowledge learning and using
of outdoor furniture in Guangdong. Moreover, GDOFA also specialize in the
construction of cooperate and communicate platform between outdoor furniture
companies and the relative industries. GDOFA is voluntarily organized by the
relative outdoor furniture institutions and social organizations in Guangdong.
It is an organization of province, industrial and non-profit.
3. Association
purpose: Abiding Chinese constitution, law, regulation, national policy and
society morality. GDOFA will preserve the whole industry’s benefit, members’
legal rights and interests, as the bright and bond between government and
member, serves and pushes the development of outdoor furniture development.
4. The
register administration institution of GDOFA is the Department of Civil Affairs
of Guangdong. GDOFA is under the supervision of Civil Affairs Department and
the relative functional departments of Guangdong Province.

6. Business
Range of GDOFA
a. Broadcast
and obey national regulations, guide member industry develop business under
Constitution, assist government departments to administrate the local industry
and business activities.
b. Accept
government’s commission or authorization, attend outdoor furniture’s adjustment
and planning, attend the circulating regulation’s drawing of outdoor furniture
and its matched product, attend the relative public hearing which hold by
governoment department, attend industrial standard drawing, industrial
investigation and statistics.
c. Reflecting
member’s inspires and demands to government, serve members. Developing the base
investigation for outdoor industry, research and analyze outdoor furniture’s
current economy situation, prove the development planning,economy regulations,
economy legislation to government.
d. Organize
to draw up the industrial regualtions and industrial faith system, establish
the self-discipline system, standard industrial economy, harmonize industrial
pricing and other arguement, stop the illegal competition, pretent the market
in fair.
e. Harmonize
the relationship between members, member and outsider, member and companies
from other industry, consumer, the outdoor furniture other social organization
and government department. Help member to achieve the economic and technical
cooperation with the national and foreign relative industries.
f. Organize
the experience communication during outdoor funiture industry, the activities
of investment and product promotion, promote the typical experience and newly
sale method, help member to oper their new market and new product

on relative regualtions, establish publication, brief repot ,collect and
analyze outdoor furniture industry’s running situation, development trend,
introduce national and foreign new technology, new product and new situation.
Prove relative regulation, law, product market and other information and consultation
service.
h. Hold
a variety of training activities and other technical consultation activities to
help member improve their administrative level and employee’s comprehensive
quality.

Chapter Member Administration
7. GDOFA
menber type: Institutional member
a. Member
has to mainly manage in the customize outdoor furniture production, sales,
service and research. After application enter to GDOFA.
b. Other
relative unit in outdoor furniture industry, such as mateiral supplier,
equipment manufacture can apply to enter GDOFA to be the industry member.
8. The
essential conditions of applying to enter GDOFA:
a. Advocacing
the constitution of GDOFA.
b. Having
the inspiration of entering GDOFA.
c. Having
a certain affection in the outdoor funiture industry and the relative
territory.
d. Legally
register as the company unit or social association about outdoor furniture, and
apply to be the unit member.
9. The
program of entering GDOFA
a. Prove
the application.
b. Get
Through after council analyzation
c. Pay
the annual membership dues base on standard.
d. Secretariat
awards the Membership Certification by Council’s permisstion.
10. The
rights of member:
a. The rights
of suffrage , being elected and voting.
b. Attending
the activities of GDOFA.
c. Having
the priority of GDOFA’s service, attend the service of provide information.
d. Having
the right to criticize and make suggestions and monitor.
e. Volunter
to enter or withdraw GDOFA.
f. Having
the other due right.
11. The
obligation of member
a. Execute
the decision of GDOFA;
b. Prevent
the legal right and reputation of GDOFA;
c. Attend
and support GDOFA’s arrangement and activties.
d. Finish
the mission which GDOFA forwards;
e. Pay
the membership due base on the regulations;
f. Reflect
economic situation, and provide the relative documents;
g. Take
the obligation base on the constitution.
12. The
membership due standard:
a. For
chairman unit, RMB 28000 per year;
b. For
executive vice chairman unit, RMB 20000 per year;
c. For
supervising chairman unit, RMB 20000 per year;
d. For
vice chairman unit, RMB 15000 per year;
e. For
vice supervisoring chairman unit, RMB 15000 per year;
f. For
general director unit, RMB 5000 per year;
g. For supervisory
unit, RMB 5000 per year;
h. For
general member unit, RMB 2000 per year.
Note: the next
year membership due should be paid every December .
13. For
member’s withdrawing, member need to notice GDOFA through by writing, and hand
over the Member Certification. If member didn’t obey the obligation in one
year, then is considered to be withdraw automatically. If member withdraw, the
paid membership due will not be returned.
14. If
member didn’t obey the Association Constitution of outdoor furniture industry,
GDOFA will put forward to critisize and educate. If member have the behavior of
seriously obeying the Association Constitution, it will be expelled after the
general meeting’s permission.
The Forth
Chapter The Organization and Principal’s
Production and Deposition
15. The
highest authority of GDOFA is general meeting. According to the national law, regulation
and industry Association Contitution to use rights.
16. The
rights of general meeting
a. Decide
GDOFA’s business range and rights in national law and regulation.
b. Elect
or depose chairman, vice chairman,general director, supervisory and secretary
etc.
c. Deliberate
on the working report and financial report, annual financial budget plan of
Council and Superisory Board.
d. Make
the decision of membership expelled, changed or repealled.
e. Draw
up or modificate the membership due standard, constitution, oganization
structure and eclection method.
f. Decide
the project of association changed, dismiss and clearing etc.
g. Decide
the other important event.
17. The
general meeting hold every two year. For any special situation, it is need to
change leadership in advance or delay. It is need tobe passed by Council and
permitted by the administration institution of association registration. But
the delay leadership change can not more than one year. For genreal meeting, it
is at lease hold one time every two year. If there are one fifth membership
suggest or the Council consider it is necessary, then temporary general meeting
can be held.
18. Only
when two third membership’s attendance, general meeting can be held. General
meeting’s decision come into effect when the half of membership made decision.
General meeting should record all the discussed projects and public to
membership.
19. There
have a Council of general meeting. Council is the executing institution of
genreal meeting, During the general meeting closing, Council will on duty
according to the general meeting’s decision and th regulation of association
constitution.
20. The
Rights of Council.
a. Carry
out the decision of the general meeting.
b. Elect
or depose the chairman, vice chair and secretary general;
c. Prepare
to hold the general meeting.
d. Report
the work and financial situation to general meeting;
e. Draw
up GDOFA’s annual financial budget plan, decision, change, dismiss, clearing
and other project.
f. Draw
up the plan of increase registered fund or decrease
registered fund.
g. Decisde
the setting of every inner situation, and lead the GDOFA to open works.
h. Decide
the new membership’s initiation, the punishment of membership and the
membership expulsion.
i.
Elect secretary general, decide the main
principal. According to the secretary general ‘s nomonation, engage or dismiss
vice secretary general, the association’s institution, the main principal of representative
organization and decide its salary.
j.
Draw up the inner administrative policy.
k. Decide
the other important project.
21. The
Council must to hold two times meeting at lease every year. And there must be
2/3 general pirectors’ attendance. The decision must get through 2/3 Council
then be effective. The Council must draw up a meeting summary about the
decision and notice to the public.
The
Council and President will call up and hold the meeting; When President can’t
on duty because special reason, then it is hold by Vice President. If there are
1/3 General Pirector purpose to open meeting, then it can open.
22. President
meeting:
The
important decision is decided by the Council and general meeting. It also
decided by the meeting which hold by Vice President and President.
23. For
effective President Meeting, it must be attended by 2/3 Vice President. If Vice
President can’t attend the meeting becasue of the special reason, then he/she
can entrust this company’s administrator(position higher than director and need
to report to the secretariat) to act the duty.
24. There
has Superisory meeting(Superisory) in GOFA. It is elected by General Meeting. The
tenure of Supervisory Meeting(Supervisory) is TWO year, after tenure, he/she
can reappointment. President、Senior Vice
President、Vice
President、General
Director、Secretary-general
can’t additional post Supervisory.
25. The
supervisory have rights below:
a. Supervisory
can stand for members meeting to make annul working report.
b. Monitor
the member meeting and the Council’s right of electing and deposing. Monitor
the Council to carry out the decision of Member Meeting.
c. Monitor
the General Director Meeting and President meeting, also have the right to
suggest and question the General Director Meeting and President Meeting.
d. Monitor
the Council to obey the law and Constitution. When the President, Vice
President, General Director or Secretary General and other administrator’s
behavior damage Association’s benefit, then Supervisory can demand he/she to
correct, and if essential, Supervisory can report it to the Member Meeting and
the relative government departments.
26. GOFA
set one President, several Vice President and one Secretary General. President
is the legal representative of GOFA and couldn’t additional post the other
association’s legal representative in the same time. There are set a President
on duty in turns. Every season or every half year, GOFA will have one Senior
Vice President as the rotating President.
27. All
the members of General Director Meeting and Supervisory(including leadership changing and leadership adjustment) are elected by the Council( for the first
term, it is elected by preparatory committee), and hand over to the Member
Meeting for electing. The electing is effective when there are half of the
effective tickets for agreement.
28. The
Secretary General election is use selecting system. Secretary General and
President can not produce in the same company. President can not additional
post Secretary General.
29. President,
Vice President, Supervisory and Secretary General must have the conditions
below:
a. Stick
to the Chinese Communist Party’s route, plan, regulations. Have the good policy
quality and obey the national law and regulations.
b. Have
a large effection on GOFA’s bussiness area.
c. The
highest age can not more than 70 years old, and Secretary Genera is sole duty.
d. Have
a healthy body situation, can get into work normally.
e. Without
any criminal punishment,such as deprivation of political right.
f. Have
the complete capacity for civil conduct.
30. President,
Vice President, Secretary General’s tenure is two years, it can re-election.
President’s reappointment can not more than two rounds.
31. Right
of President below:
a. Call
up and hold the Council;
b. Check
the decision Implement of Member Meeting and the Council.
32. Secretary
General is sole duty, one of the Council, have rights below:
a. Hold
the working institution to open the normal work, organize to carry out the
annual plan.
b. Organize
to draw up and carry out the annual working plan, budget and the decision of
President meeting.
c. Harmonize
every branch institution, representative organization and real institution to
open work.
d. Nominate
the Vice Secretary General and the main principal of working institution,
branch institution, real institution.
e. Nominate
preofessional worker’s employment of working institution, branch institution,
real institution. Report to President for permission.
f. Take
charge of other nomal work.
33. GOFA sets branch institution, representative
organization, and the process like below:
a. Secretariat
of Outdoor Funiture comes forward to the concrete proposal of setting branch
institution.
b. Take
the concrete proposal to the Council for permission.
34. If
the President, Vice President, Secretary General’s age exceed the highest age
on duty, then he/she has to apply for dismission;
35. The
President is legal representative, legal representative can stand for GOFA to
sign the relative important documents.
The Fifth
Chapter Asset Management&
Usage Principle
36. GOFA’s
major financial resources:
a. Membership
fees;
b. Accepting
Donation;
c. Government
Fund
d. The
income of holding activities or service during authorized business range.
e. Interest;
f. The
other legal income.
37. During
Donation, it is need to obey national law and regulations. And can not share in
any method.Donator, sponsor or unit, member and supervisory have right to check
the usage situation and admin situation about donation. And come forward a
certain of suggestions. GOFA should respond truthfully in time to Donator,
sponsor or unit, member and supervisory.
38. GOFA
charges membership fees according to the national relative regulations.
39. Fund
of GOFA must use in the bussiness range and development which set in this
Constitution, and can not allot in memberships.
40. GOFA
has strict finance control system, make sure the accountant document is legal,
real, precise and complete.
41. GOFA
equips professional accounting personnel. Accountant must go through financial
accounting, and as account monitor. When accountant transfer work or
dismission, he/she need to take over the post clearly with the replacement.
42. GOFA’s
fund administration need to carry out the national finance control system, and
accept the Member Meeting and finance department’s monitoring. The fund which
comes from national funds or society donation needs to accept monitoring from
auditing body and public to the society about the real situation with suitable
method.
43. Before
the leadership changing or legal representative changing of GOFA, it is need to
accept financial audit from audit unit which recognized by the Association
Administration Institution.
44. GOFA
will according to Guangdong Industry Association Rules, repor the last year’s
activities, finance and the arrangement of next year to the Registration and Management
Agency before March every year.
GOFA
has the report policy of important event: GOFA will hold the big academic report,
seminar and display, communication with foreigner, foreign associations, open
outdoor industry’s inner appraise through comparison、recognition
event. Accept foreign and society donation.
45. GOFA
staff’s salary ,insurance and benefits is base on the national unit.
The Sixth
Chapter Fobidden Project
46. All
the member’s GOFA can not use Guangdong Outdoor Furniture Associations this
name to begin the commercail advertisement. All the members can use “ The
Member Unit of Guangdong Outdoor Furniture Associations to advertising.
The Seven
Chapter Constitute’s Adjustment Program
47. Adjustment
Program need the permission of Council and report to the Membership Meeting.
48. 30
days after the permission of Membership Meeting, it is need to report to the Registration
and management agency to be effectively.
The Eighth
Chapter Terminator and property
processing
49. GOFA’s
dismiss or write off because of seperation and mergering, it is need to be
purposed by the Council.
50. The
write off decision need to be passed by Membership Meeting and report to the Registration
and management agency to check and agree.
51. Before
write off, it is need to hold a liquidation organization under the Registration
and management agency , settling claims
and debts. During liquidation, association can not hold any other activities.
52. After
GOFA finish the cancellation of
registration formalities in the Registration and management agency, it means
ending.
53. After
ending, the last property will use in th relative event about outdoor funiture’s
development under the supervise of the Registration and management agency.
The Ninth
Chapter Supplementary Articles
54. This
constitute got through be the Membership Meeting at 22th November 2013.
55. The Interpretation
of this constitute is belongs to GOFA Council.
56. The
constitute begin to be effective when the Registration and management agency
finish examination.
